Terms of Service

These Terms of Service ("Terms") govern your access to and use of the ZigmaNeural website, AI assistant, assessment tools, and any services delivered by Zigmapeople Private Limited ("ZigmaNeural", "we", "us"). By using our website or engaging our services you agree to these Terms. Enterprise engagements are additionally governed by a signed Master Services Agreement or Statement of Work, which prevails over these Terms.
1. Services
ZigmaNeural (ISO 9001:2015 certified) delivers:
- AI strategy, readiness assessments and advisory.
- AI system design, implementation and deployment (LLMs, RAG, agents, MLOps).
- Cloud-native SaaS and enterprise software engineering.
- AI governance, security and compliance advisory.
- Managed AI and IT engineering services.
- Workforce solutions — third-party payroll / employer-of-record and staffing & recruitment, delivered directly in India and through partner employers of record in 100+ countries.
- Free training and awareness sessions (informational only — see section 17).
2. Service Delivery & Acceptance
- All work follows the Decide → Design → Build → Govern framework with named milestones.
- Deliverables are considered accepted 10 business days after handover unless written objection is received.
- Change requests are handled via a formal Change Order under the applicable SoW.
3. Service Level Agreement (SLA)
Support tiers for engagements under an active Managed Services Agreement:
- Standard: business-hours response, 48h target for Sev-3, 24h for Sev-2, 8h for Sev-1.
- Premium: extended-hours coverage, 24h Sev-3, 8h Sev-2, 4h Sev-1.
- Enterprise: 24×7 coverage, 8h Sev-3, 4h Sev-2, 1h Sev-1, named support manager.
Uptime target for managed production services: 99.5% (Standard), 99.9% (Premium), 99.95% (Enterprise), measured monthly excluding scheduled maintenance and force-majeure. Service credits, where applicable, are defined in the SoW.
4. Intellectual Property & AI Output Ownership
- Your inputs: you retain full ownership of the data, prompts, documents and materials you provide. You grant us a limited licence to process them for service delivery only.
- AI outputs: subject to full payment, deliverables produced specifically for you under a SoW — including AI-generated code, models, prompts, embeddings, evaluation sets and documentation — are assigned to you on an exclusive basis, except for pre-existing ZigmaNeural IP.
- ZigmaNeural background IP: our frameworks, methodologies, reusable components, blueprints and internal tooling remain our property; we grant you a perpetual, royalty-free, non-exclusive licence to use them as embedded in your deliverables.
- Foundation-model outputs: outputs generated by third-party models (OpenAI, Google, Anthropic, etc.) are subject to those providers' terms. We do not warrant ownership of raw model output; we warrant only the composite deliverable engineered under the SoW.
- Client attribution: we may reference the engagement in credentials with your prior written consent.
5. Acceptable Use
You may not use ZigmaNeural services to:
- Violate any applicable law or third-party right.
- Build systems in EU AI Act prohibited-practice categories (social scoring, unlawful biometric categorisation, manipulative dark patterns).
- Attempt unauthorised access, disrupt, reverse-engineer or probe our infrastructure.
- Submit personal data of others without a lawful basis.
- Overload our AI assistant or automated APIs (rate limits apply).
6. Fees, Payment & Refunds
- Fees, currencies and billing cadence are set in the SoW.
- Invoices are payable within 15 days unless otherwise agreed.
- Overdue amounts accrue interest at 1.5% per month (or the maximum permitted by law).
- We may suspend services after 30 days of non-payment following written notice.
- Website-initiated pre-paid consultations may be refunded within 14 days if unused.
7. Confidentiality
Each party will protect the other's confidential information with the same care it uses for its own confidential information (no less than reasonable care), use it only for the purpose of the engagement, and return or destroy it on request. Obligations survive termination for 5 years, and indefinitely for trade secrets.
8. Data Protection
Processing of personal data is governed by our Privacy Policyand, where applicable, a signed Data Processing Agreement compliant with the EU GDPR, India DPDP Act 2023, and the EU AI Act 2024.
9. Warranties & Disclaimers
- We warrant that services will be performed with professional care consistent with industry standards.
- AI outputs may be inaccurate, incomplete or biased. Consequential decisions must include human review.
- Website content and the AI assistant are provided "as is" without warranties of merchantability, fitness for a particular purpose or non-infringement, to the maximum extent permitted by law.
10. Limitation of Liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, punitive or exemplary damages, or loss of profits, revenue, data or goodwill. Each party's aggregate liability for direct damages is capped at fees paid by the client to ZigmaNeural in the 12 months preceding the claim. Nothing limits liability for gross negligence, wilful misconduct, fraud, IP infringement, or breach of confidentiality.
11. Indemnification
Each party will indemnify the other against third-party claims arising from its breach of these Terms, its violation of law, or its infringement of third-party IP. The indemnifying party controls defence; the indemnified party will provide reasonable cooperation.
12. Term & Termination
- These Terms apply while you use our website or services.
- SoWs continue until deliverables are accepted or terminated per their terms.
- Either party may terminate for material breach uncured within 30 days of written notice.
- On termination, you pay for services rendered and we deliver work-in-progress artefacts.
13. Governing Law & Jurisdiction
These Terms are governed by the laws of India, without regard to conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
14. Dispute Resolution
- Good-faith negotiation — the parties will attempt to resolve any dispute through senior-executive discussion for 30 days.
- Mediation — unresolved disputes will be referred to a mutually agreed mediator in Visakhapatnam, India.
- Arbitration — failing mediation, disputes will be finally resolved by arbitration under the Arbitration and Conciliation Act, 1996 (India) by a sole arbitrator, seat Visakhapatnam, language English. The award is final and binding.
- Courts — subject to arbitration, the courts of Visakhapatnam, Andhra Pradesh have exclusive jurisdiction. Either party may seek injunctive relief in any court of competent jurisdiction to protect IP or confidential information.
15. Force Majeure
Neither party is liable for delays or failures caused by events beyond reasonable control (natural disasters, war, terrorism, government action, internet or major cloud-provider outages).
16. Miscellaneous
- These Terms plus the applicable SoW form the entire agreement.
- No waiver is effective unless in writing.
- If any provision is unenforceable, the rest remain in effect.
- Neither party may assign without consent, except to an affiliate or in a merger.
- Notices to ZigmaNeural must be sent to info@zigmaneural.com.
17. Free Training and Awareness Sessions
ZigmaNeural may, from time to time and at its sole discretion, offer free awareness-oriented training sessions as part of its social responsibility initiatives. By expressing interest in or attending any such session, you agree to the following:
- Sessions are provided for informational and awareness purposes only.
- Participation does not create any employment, internship, contractual, certification, or placement entitlement.
- ZigmaNeural reserves the right to modify, postpone, cancel, or discontinue any session without notice.
- Training content, materials, and slides remain the intellectual property of Zigmapeople Private Limited and may not be reproduced, redistributed, or commercialised without written permission.
- Eligibility for sessions is at ZigmaNeural's sole discretion based on available capacity and business context.
- Any data submitted when registering interest is handled per our Privacy Policy.
18. Workforce Solutions (India Only)
- Third-party payroll (employer-of-record) and staffing services are delivered directly within India by Zigmapeople Private Limited and, outside India, through vetted partner employers of record in 100+ countries, in each case only under a separate signed services agreement. The employing entity per country is named in that agreement.
- Where we act as employer of record, we are responsible for statutory payroll compliance, filings and disbursement for the personnel named in the agreement; you remain responsible for day-to-day work direction, workplace safety, and the accuracy of payroll inputs you provide.
- Client-supplied employee and candidate data is processed strictly for delivery of the engaged service and in line with our Privacy Policy and applicable DPA.
- Staffing submissions are candidate introductions, not guarantees of placement, retention or performance.
- Statutory contributions, taxes and levies are passed through at actuals in addition to service fees.
